These Terms & Conditions (“Agreement”) govern the sale and delivery of Capsule Houses (“Products”) manufactured by SpaceCaps (“Company,” “we,” “us,” or “our”) to the customer (“Client,” “Buyer,” or “you”). By placing an order with SpaceCaps, you agree to the following terms:
1. Orders & Acceptance1.1. All orders are subject to written confirmation by SpaceCaps.1.2. Specifications, drawings, and product descriptions must be confirmed in writing by both parties before production begins.1.3. Any changes to confirmed orders may result in revised pricing, lead times, or additional costs.2. Payment Terms2.1. 50% upfront payment (deposit) is required to initiate production.2.2. 50% balance payment is due prior to shipment/delivery of the Products.2.3. Payments must be made by bank transfer to the account specified in the proforma invoice.2.4. All banking fees, transfer costs, and applicable taxes are the responsibility of the Buyer.2.5. Production and delivery timelines will only commence once the upfront payment is received in full.3. Production & Delivery3.1. All Products are manufactured in our factory in China.3.2. Estimated production and delivery timelines will be provided upon order confirmation.3.3. SpaceCaps is not liable for delays caused by customs clearance, shipping carriers, or events beyond our reasonable control.3.4. Delivery terms are EXW (Ex Works) China, unless otherwise agreed in writing.4. Risk & Ownership4.1. Ownership of the Products transfers to the Buyer only upon full payment.4.2. Risk of loss or damage transfers to the Buyer upon collection/shipment from our factory.4.3. Insurance for transportation must be arranged by the Buyer unless otherwise agreed.5. Warranty & Quality5.1. SpaceCaps warrants that all Products are free from material defects in workmanship for 12 months from the date of delivery.5.2. The warranty does not cover damages caused by:Improper installation or handling by the BuyerUnauthorized modificationsNormal wear and tear or external factors (weather, natural disasters, misuse)5.3. Warranty claims must be submitted in writing with proof of defect. SpaceCaps reserves the right to repair, replace, or provide spare parts at its discretion.6. Cancellations & Refunds6.1. Orders may not be cancelled once production has started.6.2. Deposits (50% upfront payment) are non-refundable.6.3. If the Buyer fails to pay the remaining balance, SpaceCaps reserves the right to withhold delivery and/or resell the Products.7. Limitation of Liability7.1. SpaceCaps shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, delays, or business interruptions.7.2. Our maximum liability is limited to the amount paid by the Buyer for the Products.8. Force MajeureSpaceCaps shall not be held responsible for delays or failure to perform obligations due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or government restrictions.9. Governing Law & Jurisdiction9.1. These Terms & Conditions are governed by the laws of [Insert Jurisdiction – e.g., Hong Kong / PRC / International Arbitration].9.2. Any disputes shall be resolved by arbitration under the rules of the [Insert Arbitration Body], with proceedings conducted in English.10. Entire AgreementThese Terms & Conditions, together with any signed contracts, proforma invoices, and purchase agreements, constitute the entire agreement between SpaceCaps and the Buyer and supersede any prior discussions or representations.
